B2B Reseller & Distributor Terms

These terms apply to approved B2B accounts — businesses and resellers purchasing GoGoNano products for commercial resale or professional use. They supplement the GoGoNano General Terms and Conditions, which remain in force where not overridden below. In the event of conflict between a translated version and the English version, the English version prevails.

1. Scope of Application

These B2B Terms govern the sale of goods by GOGONANO OÜ (registry code 12548418, VAT EE101868947, Kose mnt 28–13, Kehra, Harjumaa, Estonia 74310; info@gogonano.com) to approved B2B account holders — companies, resellers, distributors, and professional buyers acting in the course of their trade or business.

2. B2B Account Approval

Wholesale pricing is available exclusively to applicants reviewed and approved by GoGoNano. Approval is at GoGoNano’s sole discretion. GoGoNano may withdraw B2B status at any time if these terms are breached or if the account is inactive for 12 consecutive months.

3. Pricing and VAT

All wholesale prices are shown inclusive of VAT. Shipping is calculated at checkout. Approved account holders see their wholesale prices automatically after logging in. Prices are in euros (EUR). The applicable VAT rate depends on the buyer’s country and VAT registration status. EU businesses supplying a valid VAT number benefit from zero-rated intra-Community supply where applicable. The price at the time of order confirmation applies.

4. Minimum Order

The minimum order quantity is 12 units per product. Sample orders may be placed at retail price before committing to bulk purchases.

5. Order Placement and Cancellation

B2B orders are placed through the GoGoNano online store while logged in to an approved account. The sales contract is formed upon receipt of payment. Orders may be cancelled only before dispatch. To request cancellation, contact info@gogonano.com immediately after placing the order. Once dispatched, orders cannot be cancelled.

For orders exceeding 300 units of any product, please confirm availability before ordering. Such orders may require up to 30 days for fulfilment.

6. Payment and Late Payment Interest

Payment is due in full at the time of ordering. GoGoNano does not currently offer credit or invoice-based payment terms.

If an invoice becomes overdue, GoGoNano is entitled to charge interest at the European Central Bank’s reference rate plus 8 percentage points per annum, in accordance with EU Directive 2011/7/EU on combating late payment in commercial transactions. GoGoNano is additionally entitled to a minimum flat-rate recovery fee of €40 per overdue invoice.

7. Retention of Title

All goods remain the property of GOGONANO OÜ until full payment has been received. Until title passes, the buyer holds the goods as bailee and must store them so that they are identifiable as GoGoNano’s property. If the buyer becomes insolvent before payment, GoGoNano may reclaim the goods.

8. Delivery and Transfer of Risk

Shipping costs are borne by the buyer and calculated at checkout. Risk of loss or damage passes to the buyer when the goods are handed to the first carrier. Delivery times: within Estonia typically 3–7 working days; outside Estonia up to 30 calendar days, in some cases up to 45 days. For large orders, an estimated dispatch date will be communicated.

9. Customs and Import Duties

For deliveries outside the European Union, the buyer is solely responsible for all customs clearance, import duties, taxes, and any related costs. GoGoNano delivers DAP (Delivered at Place — Incoterms 2020) unless otherwise agreed in writing.

10. Right of Withdrawal

The 14-day right of withdrawal applicable to consumers does not apply to purchases by legal entities. Returns are accepted only for goods that are defective, incorrectly delivered, or damaged in transit.

11. Inspection and Defect Claims

The buyer must inspect goods on delivery and notify GoGoNano of any visible defects, shortages, or incorrect delivery within 7 days of receipt. Claims must be submitted to info@gogonano.com with a written description and photographic evidence. Failure to notify within this period constitutes acceptance of the goods as delivered.

A two-year defect liability period applies to hidden (latent) defects. GoGoNano will, at its choice, repair, replace, or refund defective goods. Liability for defects is excluded where goods have been modified, improperly stored, or used contrary to product instructions.

12. Limitation of Liability

GoGoNano’s total liability to a B2B buyer arising from any order shall not exceed the net value of that order. GoGoNano is not liable for indirect, consequential, or loss-of-profit damages. These limitations do not apply to liability for death, personal injury, or damage caused by fraud or wilful misconduct.

13. Force Majeure

Neither party is liable for delays or non-performance caused by circumstances beyond its reasonable control, including but not limited to natural disasters, war, pandemics, strikes, government actions, or supply chain disruptions. The affected party must notify the other without delay. If the force majeure event exceeds 60 days, either party may terminate the affected orders without penalty.

14. Pricing Confidentiality

B2B wholesale prices are confidential. Account holders must not disclose or publish wholesale pricing to third parties, including on price comparison websites or social media.

15. Resale and Minimum Retail Price

B2B account holders may resell GoGoNano products through their own sales channels. Products must not be sold below the recommended retail price (RRP) published on www.gogonano.com. GoGoNano may revoke B2B access for systematic below-RRP resale.

16. Brand and Marketing Materials

Approved resellers may use GoGoNano product images and brand assets solely for the purpose of selling GoGoNano products. Marketing materials are available on request. Brand assets must not be modified or used in a way that implies an exclusive or official partnership not agreed in writing. All intellectual property in the GoGoNano brand remains the exclusive property of GOGONANO OÜ.

17. Independence — No Agency

The B2B account holder acts as an independent reseller, not as agent, representative, or partner of GoGoNano. The account holder has no authority to enter into contracts or make representations on behalf of GoGoNano.

18. Data Protection

Personal data of B2B account holders and their contact persons is processed in accordance with GoGoNano’s Privacy Policy and the General Data Protection Regulation (EU) 2016/679 (GDPR).

19. Changes and Termination

GoGoNano may update these terms or wholesale pricing at any time with notice by email. Continued ordering after the effective date of a change constitutes acceptance. Either party may terminate the B2B arrangement with 30 days’ written notice. GoGoNano may terminate immediately for material breach.

20. Severability and Entire Agreement

If any provision of these terms is found invalid or unenforceable, the remaining provisions continue in full force. These terms, together with the GoGoNano General Terms and Conditions, constitute the entire agreement between the parties and supersede all prior communications.

21. Governing Law and Jurisdiction

These terms are governed by the laws of the Republic of Estonia. Disputes are submitted to the exclusive jurisdiction of Harju County Court (Harju Maakohus) as the court of first instance, unless mandatory law requires otherwise.
